Mergers and acquisitions
- Companies may wish to enter the UK market, create further scale or add to their suite of products and services.
- We can help carry out the due diligence process, draft and negotiate a letter of intent and provide advice and guidance through the transaction including the drafting of the share or asset purchase agreement and related documents.
- We can also provide corporate tax support and expertise on specialist aspects which may arise in the target company such as intellectual property, commercial contracts, real estate, and employment/HR issues.
Equity Fundraising
- Many UK companies raise capital from international investors alongside their founders and existing owners and we regularly advise equity investors, shareholders, lenders and the companies themselves on how to effect their transactions and on the documentation involved.
- We can draft, advise on and negotiate investment documentation, which needs to be carefully structured to provide appropriate protection for the funding providers and to reflect the size of shareholdings and roles of the various owners.
