Series A/B/C funding rounds – Assisting companies with strategic funding decisions, creating supportable equity investments and protecting founder shareholder positions. Acting for investors, confirming rights, ensuring provision of information, protecting minority positions.

PE – Acting for a variety of mid-market funds and companies receiving PE investments. Assisting with investments, MBO’s, MBIs and secondary buyouts.

Debt finance – Acting for a variety of borrowers (corporates, charities, individuals) and lenders (private banks, funds, HNWIs) on all debt finance requirements, including security and intercreditor arrangements.

MATURE

M&A – Advising selling shareholders on disposals and ensuring they are appropriately protected from contractual terms (eg warranties and restrictive covenants).

Listings –  Main Market and AIM – Advising businesses on the process and regulatory requirements for listing on the London Stock Exchange. Acting alongside Nomads, brokers and accountants.

Takeovers – Acting for both offerors and targets on takeovers, by way of contractual offer or scheme of arrangement, hostile or recommended.
