BDB Pitmans acts for Medication Packaging Holdco Limited on acquisition of leading sustainable manufacturer
Top 100 UK law firm, BDB Pitmans, has acted for Medication Packaging Holdco Limited on the synergistic acquisition of the entire issued shares capital of F.G. Curtis Limited, which includes its subsidiary, 3D Creative Packaging, for an undisclosed sum.
Part of the Harwood Private Equity portfolio, BDB Pitmans previously advised Medication Packaging Holdco Limited on the acquisition of Medica Packaging, a packaging specialist based in Crewe, Cheshire, which is seeking to grow its offering.
Founded over eighty years ago, F.G. Curtis is one of the UK’s foremost folding carton manufacturers, supplying clients in the cosmetics and beauty industries. Based in Surrey, F.G. Curtis specialises in sustainable packaging, combining conventional manufacturing methods with innovative technology and environmentally sustainable materials.
The current management team, led by Managing Director James Williams, Commercial Director Ben Curtis and Sales Director Steve Mallet, will remain in place, with Gerard Harford and Mark Stokes, Directors of Medica Packaging, set to join the Board of Directors.
BDB Pitmans team was led by corporate partner Nick McCarthy and finance partner Robert Chidley with assistance provided by corporate legal director Toby Richards-Carpenter.
The wider team included corporate solicitors Zoe Symes, Tom Lane and Rhys Major.
This deal required the rapid re-registration of F.G. Curtis as a private company ahead of completion in order to manage legislative demands relating to financial assistance for public companies. BDB Pitmans assisted Medication Packaging Holdco Limited in obtaining a mix of equity from existing investors and secured debt funding from Shawbrook Bank to finance the acquisition and future working capital.
