Olivia advises businesses, charities and public bodies on national and cross-border commercial contracts and data protection matters.
Olivia’s commercial contracts experience includes drafting, negotiating and advising on both business to business and business to consumer contracts relating to a broad range of industries including technology development and procurement (including bespoke software development and delivery agreements), a broad range of healthcare and life sciences matters, media and entertainment, telecoms and hospitality. Olivia has particular experience advising on the commercial agreements required for clinical trials, which involves a considerable amount of cross-border work. Additionally, Olivia has a detailed knowledge and understanding of all areas of the equestrian industry which enables Olivia to efficiently and effectively advise clients in the equestrian space.
Olivia also advises on all aspects of data protection compliance from assisting with the implementation of essential policies and procedures, to advising on and drafting bespoke agreements to govern complex international transfers of personal data.
Career Highlights
- Negotiating and advising on an £120 million outsourcing of clinical services from a large private hospital chain, including all commercial and data protection aspects.
- Advising a large membership organisation in the hospitality sector on a collaboration agreement with a large insurance broker in relation to marketing, selling and managing a jointly developed insurance product. As well as negotiating the contract, this project involved advising on complex data protection arrangements and intellectual property issues relating to branding.
- Drafting a chain of contracts for an innovative, technology driven private healthcare provider to govern its Covid-19 testing service, from the consumer onboarding phase to the referral laboratory outsourcing phase.
- Negotiating and advising on master services agreements for clinical trials with leading pharmaceutical companies.
- Helping a new horseracing syndicate establish its business by drafting a bespoke contract to govern syndicate membership which ensured compliance with both the British Horseracing Authority’s regulations and consumer law, whilst dealing with more unusual elements such as what might happen if the horse needs to be rehomed or, conversely, becomes successful and retires as a high value stud or broodmare.
- Advising the English entity of a multi-billion pound, multi-national organisation on how to compliantly appoint its affiliates in other jurisdictions as data processors. In other words, advising how to ensure the client’s intra-group international transfers of personal data were compliant with the UK data protection legislation, whilst still achieving the client’s commercial aims.
- Advising on the data protection compliance of Development Consent Order applications and, in particular, putting together DCO-specific privacy policies.
